Section 0. Agency Non-Solicitation Covenant
During any agency subscription, and for twenty-four (24) months following the termination or expiration thereof, DeskGate covenants that it will not contact, solicit, market to, or contract with the underlying healthcare provider clients, clinics, or physician practices of a licensed billing agency, RCM partner, or BPO operator for competing billing, claims processing, or prior-authorization services. The agency partner retains 100% of its client relationships and every dollar of recovered revenue.
1. Issuer & Corporate Governance
This agreement is entered into with DeskGate, Inc., a corporation organized under the laws of the State of Delaware (File No. 10773474), with operative Swiss office at Lauterbachstrasse 136a, CH-3068 Utzigen BE. Co-founders: Hans Johannes Schulte (CEO & Systems Architect) and Jolanda C. M. Wevers Schulte (Operations & Governance).
Governing Law: For United States contracts, the laws of the State of Delaware govern. For Swiss healthcare provider contracts under Schedule CH, Swiss substantive law applies, with exclusive jurisdiction at the registered seat of the participating practice or hospital.
2. Schedule S — Licensing, Tiers & Pricing
DeskGate licenses software access per license unit. One license authorizes all payer portals for one physical practice location with up to five (5) computers operating concurrently. DeskGate charges zero per-case transaction fees, zero seat taxes, and zero percentage of recovered claims. Every practice starts with a 30-day free trial authorized at $0.00 / CHF 0.–.

3. Schedule I — Implementation & Onboarding
Implementation fees are $0.00 (CHF 0.–). Standard onboarding includes:
- Silent extension deployment via Google Chrome Enterprise Policy or Microsoft Intune (GPO / Registry).
- Issuance of the practice license key restricted to authorized clinical workstations.
- Execution of the one-page BAA (US) or Schedule CH AVV (Switzerland).
- One live orientation session with clinical coordinators on their active payer worklist.
4. Data Handling & Ephemeral Processing
DeskGate maintains a strict zero-retention architecture. No patient charts, clinical notes, AHV numbers, or member IDs are persistently stored in DeskGate server databases.
- Volatile Session RAM: Patient facts reside solely in temporary browser-panel memory and are immediately purged upon clicking «New Case» / «Neuer Fall», patient switching, or browser tab closure.
- United States Route: Screen reads and field matching execute via Gemini models on Google Cloud Vertex AI under DeskGate's executed Google Cloud BAA (signed 28 Sep 2026, tenant
deskgate-production). Google in-memory caching is disabled. - Schweiz-Modus: Page text, pasted KIS text, and uploaded text-layer PDFs are transmitted over TLS to Flow Swiss AG servers in Baar ZG, Switzerland, processed ephemerally in RAM, and immediately discarded. Only empty HTML field labels (no patient data) reach Google Vertex AI (global region) for semantic box matching.
- Hashed Audit Ledger: Payer tracking numbers and Eingangsnummern are hashed client-side via SHA-256 before emitting telemetry rows. DeskGate stores only the mathematical hash, never the raw identifier.
5. BAA (HIPAA) & Schedule CH (Art. 9 revDSG)
Prior to processing live patient data, the parties execute statutory compliance documentation:
- US Practices: A HIPAA Business Associate Agreement (BAA) with DeskGate, Inc. backed by DeskGate's upstream Google Cloud BAA.
- Swiss Practices: Schedule CH (AVV Version 2.3) pursuant to Art. 9 revDSG and Art. 1–4 VDSG, confirming DeskGate's standing as an authorized Hilfsperson under Art. 321 StGB.
6. Mandatory Human Submit Gate & Clinical Accountability
DeskGate operates strictly on the administrative shaft of the medical workflow. It does not diagnose, prescribe, or formulate medical necessity determinations.
- The runtime drafts appeals, pre-fills forms, and flags evidentiary omissions as
[MISS](US) or[FEHLT](CH). - Zero Autonomous Submissions: DeskGate is programmatically barred from clicking «Submit», «Send», «File», or «Übermitteln». The licensed coordinator, MPA, or physician must inspect the form, attach supporting documentation, and click Submit.
- Swiss Medical Responsibility: The WZW confirmation (Art. 32 KVG) and the decision regarding transmission to the Vertrauensärztlicher Dienst (Art. 42 Abs. 5 KVG) remain exclusively with the responsible physician.
7. Schedule M — 30-Day Measurement Protocol
Every practice starts with 30 days free. The 30-day trial evaluates performance against the practice's own certified pre-period baseline. On day 30, a 4-metric audit ledger is generated:
- Completed cases / coordinator-day: Throughput yield compared against the pre-period baseline.
- Gate-Accept rate: Share of staged appeals submitted without material editing.
- Material-Edit rate: Frequency of coordinator edits prior to submission.
- Autonomous submits: Strictly zero (0).
At the conclusion of the 30-day period, the practice may continue at the agreed Schedule S rate or cancel with zero financial obligation.
